Practice Experience

Mitsuhiko Nakamoto is an attorney licensed both in Japan (bengoshi) and the US (New York), and is based in Access International’s Tokyo Office. Mr. Nakamoto also holds a Certificate in Business Administration from Kellogg Graduate School of Management. He specializes in international transactions and mergers and acquisitions.

Mr. Nakamoto assists foreign companies entering the Japanese market and also advises Japanese companies expanding their business abroad. Assistance to US companies includes establishment of Japanese subsidiaries, drafting and revision of corporate agreements under Japanese law, and tailoring of legal documents to conform to Japanese business practice and mitigate legal risks in each stage of its business. Mr. Nakamoto worked for one year as in-house internship counsel with the Los Angeles branch of Mizuho Corporate Bank, where he drafted and revised credit agreements with an average value of approximately US$12 Million. Mr. Nakamoto’s experience at Mizuho Corporate Bank included coordination of the terms and allocation structure of a Multicurrency Syndicate Revolving Credit Facility with other lenders and with internal branches all around the world. Mr. Nakamoto also was responsible for revising existing credit agreements to help achieve the business objectives of clients of the Bank. In addition, Mr. Nakamoto revised legal contract forms and compliance policies to comply with Japanese laws and US (federal and state) laws.

In addition, Mr. Nakamoto has worked for over three years in private practice in Japan, focusing on international transactions, and has significant experience with mergers and acquisitions of various sizes, including cross-border transactions relating to Japan and the US, UK and other countries. Mr. Nakamoto has led legal teams of up to four members to manage deals from due diligence through business succession. Mr. Nakamoto has worked on deals in business sectors including trading companies, pharmaceutical companies and real estate companies.
